1. Agreement to these Terms

These Terms & Conditions (“Terms”) are a binding agreement between you and Satya Financial Technologies Pvt Limited (“Satya”, “we”, “us” or “our”). They govern your access to and use of satyafinancial.com, the Satya loan-application support platform, and related features, content and services (together, the “Platform”).

By accessing the Platform, creating or continuing an application, checking a consent box, or submitting information, you confirm that you have read, understood and agreed to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

2. Eligibility and authority

You may use the Platform only if you are at least 18 years old, are legally capable of entering into a binding agreement under the laws of Nepal, and use it for yourself or for another person who has expressly authorised you to act for them. You must not submit another person's personal information or documents unless you have their lawful authority and all required consents.

If you provide information about a spouse, family member, property owner, guarantor or any other third party, you represent and warrant that you are authorised to provide it for the purposes described in these Terms and the Privacy Policy.

3. What Satya does—and does not do

Satya provides technology and administrative support to help you collect, organise, review and, with your consent, share a loan application with one or more prospective partner banks or financial institutions (“Partner Institutions”). Satya may review an application for completeness and decide whether or when it is ready to be referred.

Any estimate, illustration, rate range, status or other information shown on the Platform is indicative only, may change, and must not be relied upon as a final lending term. A Partner Institution's executed loan documents will govern any loan and will prevail over Platform content if there is a conflict. Satya is not a party to a loan agreement solely because the application was prepared or transmitted through the Platform.

4. Your application and consent

You authorise Satya to:

• collect, store, structure and otherwise process the information and documents you provide;
• use document scanning, optical character recognition, transliteration and other automated tools to extract or organise information, subject to your review;
• contact you about the application, request clarification or additional documents, and provide service and security notices; and
• after you give the applicable consent, disclose your application and supporting materials to selected Partner Institutions so they can assess, verify and process the application.

A Partner Institution may require additional consents, checks or documents before it acts on an application. Withdrawing consent may prevent Satya or a Partner Institution from continuing to process the application, but does not affect processing already lawfully completed or information that must be retained by law.

Optional contact about other banking products

Before you review and submit your loan application, the Platform may ask whether you would like to hear about other banking products. This choice is optional, is separate from permission to share the loan application for credit assessment, and will not affect the processing or outcome of your loan application. You may expressly decline and continue.

If you opt in, select one or more general product categories and permitted contact methods, you authorise Satya to disclose those selections and the contact details already provided in your application to one or more selected Partner Institutions. Those Partner Institutions may contact you by the methods you selected—including telephone call, SMS or email—solely to provide information or discuss the selected categories. Satya does not authorise contact about unselected categories or disclosure to every Partner Institution by default.

An expression of interest is not a separate product application, approval, recommendation, offer or guarantee of eligibility. Any product is subject to the relevant Partner Institution's eligibility checks, disclosures, rates, fees, charges, terms and privacy notice. You may withdraw this optional contact permission at any time by emailing privacy@satyafinancial.com and may also ask the contacting Partner Institution to stop. Withdrawal applies prospectively and does not affect prior lawful processing or records that must be retained by law.

5. Your responsibilities

You agree that you will:

• provide information that is complete, current, authentic and not misleading;
• review all auto-filled or extracted information against the original documents and correct any error before submission;
• promptly update material changes and respond truthfully to reasonable verification requests;
• submit only documents and content you may lawfully possess, copy, upload and share for a loan application; and
• keep application links, devices and access credentials secure and notify us promptly of suspected unauthorised access.

You are responsible for the accuracy and legality of your submissions and for decisions you make based on Platform content. False, altered, forged or misleading information may lead to rejection, suspension, disclosure to an affected Partner Institution or authority where legally permitted or required, and civil or criminal consequences.

6. Prohibited use

You must not, directly or indirectly:

• use the Platform for fraud, impersonation, money laundering or any unlawful purpose;
• upload malware or material that is unlawful, infringing, deceptive or harmful;
• attempt to bypass access controls, rate limits, CAPTCHA, authentication or security testing;
• probe, scan, reverse engineer, scrape, copy or interfere with the Platform except to the limited extent that applicable law does not permit that restriction; or
• use the Platform in a way that harms Satya, a Partner Institution or another person.

7. Automated tools and electronic communications

Document scanning, OCR, translation, transliteration, duplicate detection and other automated tools can be incomplete or wrong. They assist data entry and review; they do not replace your verification of the source documents and do not constitute a lending decision. You must check every extracted field before confirming it.

You agree to receive these Terms, the Privacy Policy, consents, application notices and other records electronically. You are responsible for maintaining a compatible device, internet connection and current contact details. Electronic acceptance and records may be used as evidence of your actions to the extent permitted by applicable law.

Application, service and security communications are distinct from optional contact about other banking products. Partner Institutions may make product-related calls or send messages only when you have separately opted in through the Platform or otherwise given them permission.

8. Third-party services and Partner Institutions

The Platform relies on third-party infrastructure, security and document-processing providers and may link to or interact with Partner Institutions. Their systems, decisions, policies and conduct are outside Satya's control. Your dealings with a Partner Institution—including its verification, credit assessment, offer, fees, loan documents, disbursement, servicing and collections—are between you and that institution and may be governed by separate terms and privacy notices.

Satya does not endorse or warrant a third party merely by connecting to it, and is not responsible for a third party's availability, security, content, products, omissions or decisions, except to the extent responsibility cannot lawfully be excluded.

A Partner Institution that receives an optional product-contact request is responsible for the accuracy and completeness of its product information, its communications with you, honouring an applicable stop-contact request, and providing any disclosures required before you apply for or use its product.

9. Platform availability and changes

The Platform may be changed, restricted, interrupted, suspended or discontinued at any time, including for maintenance, security, legal or operational reasons. We do not promise uninterrupted access, permanent storage of drafts, recovery of an application, or that every feature will remain available. You should retain your own copies of important documents and communications.

We may reject, pause, cancel or remove an application, or restrict access, if we reasonably suspect inaccurate information, fraud, unlawful conduct, a security risk, breach of these Terms, or if required by Satya's or a Partner Institution's legal and compliance obligations.

10. Intellectual property

Satya and its licensors own the Platform, including its software, design, text, branding, workflows and other content, excluding material you lawfully submit. Subject to these Terms, Satya grants you a limited, personal, revocable, non-exclusive, non-transferable right to use the Platform for its intended purpose. No other right or licence is granted.

You retain any rights you have in your submissions. You grant Satya a non-exclusive, worldwide, royalty-free licence to host, copy, process, transmit and display them only as reasonably necessary to operate, secure and improve the Platform, process your application, comply with law, and exercise our rights under these Terms and the Privacy Policy.

11. Disclaimers

To the maximum extent permitted by applicable law, the Platform and all content are provided “as is” and “as available”. Satya disclaims all express, implied and statutory warranties, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, availability, security and freedom from errors or harmful code.

Satya does not warrant any loan outcome; any specific rate, amount or timeline; acceptance of any document; uninterrupted transmission to a Partner Institution; or the accuracy of OCR, translations, calculations, maps, estimates or third-party information. Nothing on the Platform is legal, tax, investment, accounting or financial advice. You should obtain independent professional advice where appropriate.

12. Limitation of liability

To the maximum extent permitted by applicable law, Satya and its directors, officers, employees, contractors, affiliates and agents will not be liable for any indirect, incidental, special, exemplary, punitive or consequential loss, or any loss of profit, opportunity, goodwill, data, anticipated savings or business, arising out of or connected with the Platform, an application, a Partner Institution, or these Terms, whether based in contract, tort, negligence, statute or any other theory, even if advised that the loss was possible.

To the maximum extent permitted by applicable law, Satya's aggregate liability for all claims arising out of or connected with the Platform or these Terms will not exceed the greater of (a) the fees you paid directly to Satya for the Platform during the 12 months before the event giving rise to the claim, or (b) NPR 10,000.

Nothing in these Terms excludes or limits liability, remedies or rights that cannot lawfully be excluded or limited, including liability for fraud or wilful misconduct where applicable. Any statutory consumer right that cannot be waived remains unaffected.

13. Indemnity

To the extent permitted by law, you will indemnify and hold harmless Satya and its directors, officers, employees, contractors, affiliates and agents from third-party claims, losses, penalties, costs and reasonable legal fees arising from your unlawful or fraudulent use of the Platform, your material breach of these Terms, your infringement of another person's rights, or information or documents you submitted without authority. This obligation does not apply to the extent a claim was caused by Satya's own breach, negligence or unlawful conduct.

14. Governing law and disputes

These Terms are governed by the laws of Nepal, without regard to conflict-of-law principles. Before filing a claim, you and Satya will attempt in good faith for 30 days to resolve the dispute after one party gives written notice to the other. This informal process does not prevent either party from seeking urgent interim relief or using a statutory complaint or remedy.

Subject to any mandatory jurisdiction or remedy under applicable law, the courts of Kathmandu, Nepal will have exclusive jurisdiction over disputes arising from the Platform or these Terms.

15. Changes to these Terms

We may update these Terms to reflect changes in the Platform, our relationships, risk, or applicable law. We will post the revised Terms and update the effective date. Where required by law or where a change materially affects your rights, we will provide additional notice or seek renewed consent. Your continued use after revised Terms take effect constitutes acceptance to the extent permitted by law; otherwise, stop using the Platform.

16. General

These Terms and the Privacy Policy form the entire agreement about your use of the Platform and replace prior statements on that subject. If a provision is invalid or unenforceable, it will be enforced to the greatest lawful extent and the remaining provisions will continue. A delay in enforcing a right is not a waiver. You may not assign your rights under these Terms without our written consent; Satya may assign them as part of a reorganisation, financing, merger, acquisition or transfer of the Platform, subject to applicable law. Provisions that by their nature should survive termination will survive, including intellectual-property, disclaimer, liability, indemnity and dispute provisions.
